Due Diligence Questions

Overview

There is no better way to assess an organization and make recommendations than by talking to the individuals that will be affected. Segger consulting meets one on one with every pertinent individual in each organization. Our methods are specifically tailored for each client.

Most of the due diligence done in the M & A process revolves around financials and corporate assessment; however, the ultimate success of mergers and acquisitions stems from the ability to integrate often very different people, systems and cultures. Segger Consulting can assist by ensuring that adequate energy is spent conducting thorough due diligence on the people, systems, procedures, and infrastructure, with respect to each sector and its relative connectivity within the organization. Our assessment techniques give you greater insight into the depth and quality of the management team that you seek to acquire, while also revealing the relative strengths and weaknesses of individuals and the organization by sector and as a whole.

Recommendations are made at every level, and often include:

  • Upfront knowledge of previously unknown capital requirements to be considered during purchase negotiations
  • Procedures and systems
  • The removal/hiring/succession planning of employees
  • Under-performing sector planning
  • Identify cultural similarities and differences
  • Elicit a “best of the best” rationalization from both organizations
  • Determination of potential areas of resistance
  • Determination of levels of commitment and understanding
  • Proactively addressing the retention and morale issues
  • …Amongst many others, depending on each individual organization.
